If you are registering to use the Services on behalf of a legal entity, you represent and warrant that:
- Such legal entity is duly organized and validly existing under the applicable laws of the jurisdiction of its organization
- You are duly authorized by such legal entity to act on its behalf
- Such organization (and any affiliated entity) must not have been previously suspended or removed from the Services or any other service or product offered by Worldwide Arbitrage or its affiliated entities
By accessing or using the Services, you further represent and warrant that you are not a person restricted from using the Services according to the laws of your jurisdiction and you will not be using the Services for any illegal activity.
Worldwide Arbitrage may determine not to make the Services, in whole or in part, available in every market, either in its sole discretion or due to legal or regulatory requirements, depending on your location.
Account Registration and Security
To access most features of the Services, you must register for an account. When registering for an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.

You agree to provide us, when registering an account and on an ongoing basis, with any additional information we request for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crime, including without limitation:
- A copy of your government-issued photo ID
- Evidence of residency such as a lease or utility bill
- Any other documentation requested during our verification procedures
You permit us to keep a record of such information and authorize us to make any inquiries, directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to take action we reasonably deem necessary based on the results of such inquiries.
In certain circumstances, we may require you to submit additional information about yourself, your business, or your transactions, provide records, and complete other verification steps (a process known as "Enhanced Due Diligence").
Compliance with Laws and Regulations

We take compliance very seriously and it is our policy to take all necessary steps to prohibit fraudulent transactions, report suspicious activities, and actively engage in the prevention of money laundering and any related acts that facilitate money laundering, terrorist financing, or any other financial crimes.

- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
- System failures or outages
- Delays or disruptions in our Services
- Viruses or other malicious software obtained by accessing our Services
- Glitches, bugs, errors, or inaccuracies of any kind in our Services

- A suspension or other action taken with respect to your account
- Your need to modify practices, content, or behavior, or your loss of or inability to do business, as a result of changes to these Terms or our policies
In no event shall our aggregate liability to you for all claims arising from or relating to the Services exceed the greater of (a) the amount received by us from you during the six-month period prior to the act, omission, or occurrence giving rise to such liability, or (b) $100 USD.

- We do not own or control the underlying software protocols which govern the operation of cryptocurrencies supported on our platform
- We do not guarantee the accuracy, completeness, timeliness, availability, or reliability of any data or information provided through the Services
To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
If you wish to terminate your account, you may simply discontinue using the Services or contact our support team to request account closure.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You agree to defend, indemnify, and hold harmless Worldwide Arbitrage, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

- Your use of the Services, including, but not limited to, any information transmitted or received by you
- Any other party's access and use of the Services with your unique username, password, or other appropriate security code
Governing Law
These Terms shall be governed and construed in accordance with the laws of Cayman Islands, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
